Terms of Service & Engagement

These Terms of Service govern your access to and use of the AVENIX Venture website, consultation services, and commercial engineering engagements.

1. Acceptance of Terms

By accessing our website or booking a technical consultation, you agree to comply with these terms. Specific engineering engagements are further governed by formal Statements of Work (SOW) and Master Services Agreements (MSA).

2. Intellectual Property & Code Ownership

Unless explicitly stipulated otherwise in a tailored enterprise SOW, upon milestone sign-off and receipt of contractual payment, all custom software code, model fine-tuning checkpoints, database schemas, and documentation created specifically for the client become the exclusive intellectual property of the client.

3. Limitation of Liability

AVENIX Venture provides technical advisory and software engineering with industry-leading standards of craftsmanship. However, we disclaim liability for indirect or consequential damages arising from third-party cloud provider downtime (e.g., AWS, GCP) or unauthorized third-party access beyond reasonable security controls.

4. Governing Law

These terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to conflict of law principles.
